📜 The Business Judgment Rule: Nevada vs. Delaware

Nevada offers stronger protections for business owners compared to Delaware. Specifically:

• Nevada: Protects directors unless a plaintiff proves intentional misconduct, fraud, or a knowing violation of the law. Courts do not shift the burden to directors in cases involving interested transactions.
• Delaware: If a controlling stockholder is involved, the burden shifts to the board, requiring them to prove the transaction was entirely fair in terms of price and process.
